Tom is an exceptionally experienced attorney who concentrates his practice on U.S. cross-border securities and corporate law matters. With a particular focus on U.S.-Canada activity, every year he and his team advise clients with respect to financing transactions totaling billions of dollars. He represents U.S. and foreign issuers and investment banks in a broad range of public and private financings, including financings under the U.S.-Canada Multijurisdictional Disclosure System, cross-border public offerings, and U.S.-foreign private placements.


Steven A. Rosenblum

Steven focuses on mergers and acquisitions, takeover defense, corporate governance, shareholder and hedge fund activism, proxy fights, joint ventures and securities law. His recent notable representations include: Nielsen sale to consortium led by Elliott and Brookfield and in the prior sale of its Connect business to Advent; Kansas City Southern sale to Canadian Pacific., among others.


Hernán has participated in a broad range of cross-border transactions including M&A, private equity, venture capital, capital markets and financing transactions with a strong focus in the technology industry. He joined Marval O'Farrell Mairal in July 1997 and became a partner in 2005.

What Hernán enjoys about his career... I enjoy working surrounded by very smart people in interesting projects. My career gave me the opportunity to learn about different industries and travel and meet top-notch colleagues from around the world with many of whom we became good friends.


Rodrigo Dominguez Sotomayor

Rodrigo has over 20 years of experience representing clients in domestic and international mergers and acquisitions, joint ventures and strategic alliances, and corporate matters in regulated and non-regulated industries throughout the United States and Latin America. He is licensed to practice in Mexico, New York, and Texas.


Mark E. Thierfelder

Mark with over 30 years of experience, concentrates his practice on private equity transactions, domestic and international mergers and acquisitions. He represents private equity funds and their portfolio companies in a full range of corporate transactions, including mergers and acquisitions, recapitalizations, leveraged financings, restructurings, and reorganizations. Mr. Thierfelder is recently elected as Firm Co-Chair, effective July 1, 2023.


Gary E. Thompson

Gary with over 30 years of experience, represents public and private companies in connection with domestic and cross-border mergers, acquisitions, divestitures, joint ventures, strategic partnerships, carve-out transactions, minority investments and governance matters. He represents clients in a broad range of industries, with a focus on the consumer goods, technology, defense and energy sectors.


Keith M. Townsend

Keith specializes in representing both public and private companies with respect to M&A, capital markets transactions and governance matters. He has substantial experience working on a broad range of public company M&A transactions, including stock-for-stock strategic mergers, tender offers, spin-offs, cross-border transactions, statutory cash mergers and divestitures, and SPAC mergers.


Alfonso Ugarte

Alfonso advises on multijurisdictional M&A in numerous sectors, including banking, infrastructures, mining, retail and technology. He also advises creditors and debtors on structured financing transactions, bankruptcy restructuring and reorganization, and on distressed financing.


Michael E. Weisser

Michael represents private equity sponsors, pension plans and their portfolio companies in connection with acquisitions, dispositions, financings, restructurings and general corporate matters. He has extensive experience with leveraged buyouts, going-private transactions, minority investments, and frequently counsels clients on a variety of securities law and corporate governance matters.


Kris counsel’s public and private companies in their strategic acquisitions and exit events and provides day-to-day advice on corporate and strategic matters in a wide range of industries, including software, gaming, internet/e-commerce, artificial intelligence, social networking and life sciences. Throughout his career, Kris has completed more than 400 domestic and cross-border mergers. He previously co-chaired Fenwick’s M&A practice for 10 years and served as a member of the firm’s executive committee for 6 years.
